Acceptance of Services

Client Responsibilities

As our client, you agree to:

• Review and approve deliverables within agreed-upon timelines
• Ensure your website and digital assets comply with applicable laws
• Make timely payments according to agreed terms

Payment Terms

Pricing and Invoicing

• Service fees are outlined in individual proposals or service agreements
• Prices are quoted in USD, AED or PKR as specified in the agreement
• All prices are exclusive of applicable taxes unless otherwise stated
• Invoices are issued according to the payment schedule agreed upon

Payment Methods and Terms

• Payment is due within 3 days of invoice date unless otherwise agreed
• We accept payments via bank transfer, PayPal, Stripe, and other approved methods
• Late payments may incur a service fee of 1.5% per month or maximum allowed by law
• Non-payment may result in suspension of services and potential legal action

Intellectual Property Rights

Client-Owned Materials

You retain ownership of all materials, content, trademarks, and intellectual property you provide to us. You grant us a non-exclusive license to use these materials solely for the purpose of delivering agreed Services.

Work Product

Upon full payment, you will own the final deliverables specifically created for your project. However, we retain rights to:

Third-Party Materials

Any third-party materials, software, or tools used in your project remain the property of their respective owners. You are responsible for obtaining necessary licenses for continued use.

Performance and Results

Service Standards

We commit to providing Services with professional skill and care, in accordance with industry best practices. However, digital marketing and SEO results depend on numerous factors beyond our control, including:

• Market competition and conditions
• Client website technical limitations
• Industry-specific challenges

No Guarantees

While we strive for optimal results, we cannot guarantee specific outcomes such as search engine rankings, traffic increases, conversion rates, or revenue improvements. All estimates and projections are based on our professional judgment and past experience.

Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid by you for the specific Services
• We shall not be liable for indirect, incidental, special, or consequential damages
• We are not responsible for damages resulting from third-party actions or technical failures
• Claims must be brought within one year of the incident giving rise to the claim

Termination

Termination by Either Party

Either party may terminate this Agreement with 30 days written notice. Upon termination:

• You remain responsible for payment of all services rendered prior to termination
• We will provide completed work and transfer necessary materials
• Ongoing campaigns and subscriptions may be discontinued

Immediate Termination

We reserve the right to terminate Services immediately if:

• Payment terms are violated
• You breach any material term of this Agreement
• Your business activities become illegal or unethical
• You provide false or misleading information

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, pandemics, or other force majeure events.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Chakwal, Punjab, Pakistan, unless otherwise agreed by both parties.

Data Protection and Privacy

Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. We comply with applicable data protection laws, including GDPR, CCPA, and Pakistani data protection regulations.

Communication and Updates

Official communications regarding this Agreement must be in writing and sent to the contact information provided. We may update these Terms from time to time, and continued use of our Services constitutes acceptance of any modifications.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire Agreement between you and Turn Me Digital. This Agreement supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
